Buyers of a business generally expect sellers to be responsible for certain liabilities relating to when the seller owned its business—a concept mergers and acquisitions professionals refer to as indemnification. Indemnification is one of the most heavily negotiated, and potentially most significant, provisions of a purchase agreement, and understanding the terminology common to such agreements is essential when negotiating a deal. CDI Corp. Announces Corporate Realignment

CDI Corp. has announced that it will undertake a realignment in the first quarter of 2014 to organize its business efforts more clearly into engineering and staffing services. The realignment will result in a reduction in headcount of approximately 65 to 75 employees and the consolidation of facilities.
Signs Point to Healthier Job Market in 2014

Employers created an average of 189,000 jobs a month in 2013, and the pace picked up in October and November. Employment in 2014 is expected to grow on the shoulders of a strong gross domestic product and high industrial production and construction. Economists surveyed by the Wall Street Journal forecast an average of 198,000 jobs will be created per month in 2014.
13 States Raising Pay for Minimum-Wage Workers

The minimum wage is being raised in 13 states this week, and another 11 states and Washington, DC, are likely to consider raising their minimum wages in 2014, according to the National Employment Law Project. As of Jan. 1, state minimum wages will be higher than the federal minimum wage of $7.25 per hour in 21 states, up from 18 two years ago.
