Buyers of a business generally expect sellers to be responsible for certain liabilities relating to when the seller owned its business—a concept mergers and acquisitions professionals refer to as indemnification. Indemnification is one of the most heavily negotiated, and potentially most significant, provisions of a purchase agreement, and understanding the terminology common to such agreements is essential when negotiating a deal. Attorney Paul Pincus of Ortoli Rosenstadt LLP explains what sellers are liable for, how a seller’s liability may be limited, and how buyers may seek to fund potential indemnity claims.

U.S. factories saw strong growth in the second quarter even though the pace of expansion eased slightly in June, according to the Institute for Supply Management. The institute’s Purchasing Managers Index fell to 55.3 in June from 55.4 in May. The index had accelerated in each of the previous four months.
Some 15 of 18 manufacturing industries grew in June. However, the growth hasn’t given a boost to hiring. The employment index was flat from May, pointing to only a tiny increase in June hiring, similar to the 10,000 jobs added in May.
Conference Board News Release (07/02/14)
Online advertised vacancies rose 155,900 to 5.1 million in June, according to the Conference Board Help Wanted OnLine Data Series. The May supply and demand rate stands at two unemployed workers for each vacancy, with a total of 4.9 million more unemployed workers than the number of advertised vacancies. The number of unemployed was 9.8 million in May.
“The June increase of 155,900 is positive news. However, the net effect is that labor demand was basically flat for the first six months of 2014,” says June Shelp, vice president at the Conference Board. “There is churn in the labor market as people change jobs. Most of the gains since last June were in the lower-paying service jobs, not the higher-paying professional jobs.” Since June 2013, advertised vacancies for professional jobs dropped by almost 80,000 while service and production jobs gained a total of 170,000 vacancies.

Small businesses added 117,000 jobs, and mid-sized businesses added 115,000 jobs. There were 230,000 new jobs created in the services sector and 51,000 in the goods-producing industries. Construction jobs rose by 36,000.
