Recruit Holdings, Japan’s biggest recruiting firm, is planning an initial public offering worth $1.8 billion. The IPO will be used to pay for future acquisitions in the company’s quest to become the largest staffing firm in the world by 2020. Recruit has acquired a number of foreign competitors in recent years, including U.S. staffing firms CSI, Advantage Resourcing, and Staffmark Holdings, as well as the U.S. job search website Indeed.com.
Buyers of a business generally expect sellers to be responsible for certain liabilities relating to when the seller owned its business—a concept mergers and acquisitions professionals refer to as indemnification. Indemnification is one of the most heavily negotiated, and potentially most significant, provisions of a purchase agreement, and understanding the terminology common to such agreements is essential when negotiating a deal. TeamHealth Holdings Inc., a provider of outsourced physician staffing solutions for hospitals, has acquired the operations of Tampa, FL-based Florida Gulf-to-Bay Anesthesiology Associates. FGTBA’s physicians and certified registered nurse anesthetists manage approximately 160,000 cases annually through anesthesia management services for eight hospitals and 11 ambulatory surgery centers.
Day & Zimmermann News Release (09/09/14)
Day & Zimmermann, a provider of construction and engineering, staffing, and defense solutions, announced yesterday that current chief information officer Anthony Bosco has been named president of Yoh, a Day & Zimmermann company focused on professional staffing services and workforce solutions. Lori Schultz, former president of Yoh, is leaving the organization to pursue other endeavors.
U.S. Bureau of Labor Statistics (09/09/14)
The U.S. Bureau of Labor Statistics reported 4.7 million job openings at the end of July, and the 3.5% hires rate and 3.3% separations rate were unchanged from June, as were the 1.8% quits rate and 1.2% layoffs and discharges rate. There were 4.9 million hires and 4.6 million total separations in July. During the year-to-year period ended in July, there were 56.0 million hires and 53.5 million separations, amounting to a net employment gain of 2.5 million.
