Buyers of a business generally expect sellers to be responsible for certain liabilities relating to when the seller owned its business—a concept mergers and acquisitions professionals refer to as indemnification. Indemnification is one of the most heavily negotiated, and potentially most significant, provisions of a purchase agreement, and understanding the terminology common to such agreements is essential when negotiating a deal. Attorney Paul Pincus of Ortoli Rosenstadt LLP explains what sellers are liable for, how a seller’s liability may be limited, and how buyers may seek to fund potential indemnity claims.

Striking Laborers at Elwood Warehouse Return to Work

Striking Illinois warehouse workers linked to Walmart are back at work and are claiming victory in their fight for back pay and improved working conditions. They won concessions from management on both points. In September, 38 employees went on strike over alleged unfair labor practices by staffing firm RoadLink. A lawsuit filed last month against the firm claimed it did not pay workers overtime wages and retaliated against some workers.
School Board Considers Kelly Services for Substitute Teachers

School board members in the Columbia, MO, public school district are considering hiring Kelly Services to help fill substitute teacher positions. Last year, the Columbia public school district had a 93% fill rate with an average of six jobs a day. The Springfield, MO public school district uses Kelly Services and gets a 99% response from temporary employees.
Columbia Public Schools spokeswoman Michelle Baumstark says, “Right now, we are doing all of the work internally. We are not doing as good of a job as we would like to see. Our teachers need to know that there is some reliability there. Our students need to know that. We can do better.” Kelly Services officials plan to charge school administrators about $328,000 a year for substitute teacher services.
