Buyers of a business generally expect sellers to be responsible for certain liabilities relating to when the seller owned its business—a concept mergers and acquisitions professionals refer to as indemnification. Indemnification is one of the most heavily negotiated, and potentially most significant, provisions of a purchase agreement, and understanding the terminology common to such agreements is essential when negotiating a deal. CTPartners Executive Search Inc. Announces First Quarter 2013 Financial Results

CTPartners Executive Search Inc. reported $29.2 million in revenue for the first quarter of 2013, down 10% from $32.4 million during the year-ago period. Its North American revenue totaled $17.4 million, marking a year-over-year decline of 13.4%. The company reported a net loss of $2 million, versus a net loss of $0.6 million during the first quarter of 2012.
By practice, revenues totaled $5.7 million for life sciences, up 8.6%; $3.6 million for industrial, up 28.2%; $6.9 million for financial services, down 29.8%; $3.4 million for technology, media, and telecom, down 6%; $4.9 million for professional services, down 3.2%; and $4.7 million for consumer and retail, down 20.1%.
