Indemnification is one of the most heavily negotiated, and potentially most significant, provisions of a purchase agreement, and understanding the terminology common to such agreements is essential when negotiating a deal. Tokyo-based Recruit Holdings Co. Ltd. reported $13.1 billion in revenue for the fiscal year ending in March 2013, up 30.1% from $10.1 billion for the fiscal year ending March 2012. Over the same period, it recorded net income of $899.8 million, up 92% from $468.7 million. Its staffing business recorded revenue of JPY 547.1 billion, up 53.5%. Its overseas staffing business reported revenue of JPY 209.5 billion, marking a gain of 642.9%.
