Buyers of a business generally expect sellers to be responsible for certain liabilities relating to when the seller owned its business—a concept mergers and acquisitions professionals refer to as indemnification. Indemnification is one of the most heavily negotiated, and potentially most significant, provisions of a purchase agreement, and understanding the terminology common to such agreements is essential when negotiating a deal. ASA: Fed Continues to Report “Modest to Moderate” Economic Gains

According to the Federal Reserve Board’s latest report on regional economies (known as the “beige book”), the nation’s economy maintained a “modest to moderate” pace of growth from July to mid-August. Consumer spending rose in most districts; activity in the travel and tourism sector expanded in most areas; demand for nonfinancial services increased slightly on net; manufacturing activity expanded modestly; and commercial and residential real estate activity gained overall. For most occupations and industries, hiring held steady or increased modestly. Wage pressures continued to be modest overall.
Jobless Claims in U.S. Declined More Than Forecast Last Week

The number of people who applied for unemployment benefits fell during the week ended Aug. 31, demonstrating improvements in the labor market. Jobless claims dropped by 9,000 to 323,000, according to the U.S. Department of Labor.
Economists surveyed by Bloomberg had predicted a drop to 330,000. The four-week average of new jobless claims dropped to 328,500 from 331,500, reaching its lowest point since October 2007.
