Buyers of a business generally expect sellers to be responsible for certain liabilities relating to when the seller owned its business—a concept mergers and acquisitions professionals refer to as indemnification. Indemnification is one of the most heavily negotiated, and potentially most significant, provisions of a purchase agreement, and understanding the terminology common to such agreements is essential when negotiating a deal. Attorney Paul Pincus of Ortoli Rosenstadt LLP explains what sellers are liable for, how a seller’s liability may be limited, and how buyers may seek to fund potential indemnity claims.
Ciber Reports Fourth-Quarter and Full-Year 2014 Results

Ciber Inc. reported revenues of $219.6 million for the fourth quarter of 2014, down 1% (up 3% in constant currency) from $222.3 million in the fourth quarter of 2013. Net income totaled $2.8 million, compared with a net loss of $102,000 in the year-ago quarter. North American revenue totaled $107.7 million in the fourth quarter, up 3% from $104.5 million on a year-to-year basis.
The company reported revenues of $863.6 million for all of 2014, down 2% (down 2% in constant currency) from $877.3 million in 2013. The company reported a net loss of $19.6 million, compared with a net loss of $14.5 million in 2013. North American revenue was flat compared with last year, totaling $422.7 million.
Genesis Healthcare Combines With Skilled Healthcare Group Inc.

Genesis HealthCare LLC, one of the nation’s largest providers of skilled nursing and rehabilitation care, has completed its merger with Skilled Healthcare Group Inc. The newly combined company will operate under the name Genesis Healthcare Inc.
Overseas Slowdown Pinches U.S. Factories

U.S. factory activity hit its lowest level in a year during January, although the sector is slowly continuing to expand, according to the Institute for Supply Management. The ISM’s overall index declined to a seasonally adjusted 53.5 in January from 55.1 in December. A reading above 50 signals expansion. The decline was broad-based, with the employment, new order, production, and supplier delivery gauges all falling from December.
Inflation Well Short of Fed’s 2% Target

The price index for personal consumption expenditures was up 0.7% in December from the same time last year, the lowest year-to-year increase since just after the recession and the smallest 12-month gain for consumer prices since October 2009, according to the U.S. Department of Commerce. It was the 32nd straight month below the U.S. Federal Reserve’s 2% inflation target. This complicates the decision for Fed officials about when interest rates should be lifted from near zero, although they believe the pullback is transitory.
“Stagnant household incomes have resulted in a lack of demand for retailers and manufacturers,” says Navy Federal Credit Union economist Alan MacEachin. “They don’t have any pricing flexibility.”
