Buyers of a business generally expect sellers to be responsible for certain liabilities relating to when the seller owned its business—a concept mergers and acquisitions professionals refer to as indemnification. Indemnification is one of the most heavily negotiated, and potentially most significant, provisions of a purchase agreement, and understanding the terminology common to such agreements is essential when negotiating a deal. Attorney Paul Pincus of Ortoli Rosenstadt LLP explains what sellers are liable for, how a seller’s liability may be limited, and how buyers may seek to fund potential indemnity claims.
Obama Administration Disallows Plans Without Hospital Coverage

On Feb. 20, the U.S. Department of Health and Human Services announced that health plans without substantial coverage of hospital and physician services do not meet the Affordable Care Act’s standard for “minimum value” coverage, meaning employers offering these plans are subject to fines of $3,000 or more per worker. Many employers in the staffing, retail, restaurant, and hotel industries, in particular, that had not previously provided health insurance flocked to these plans for 2015, which the department allowed for this year only, provided contracts had been signed by Nov. 4.
Wal-Mart to End One-Day Wait for Sick Pay

Wal-Mart Stores Inc. will eliminate one-day sick leave wait periods for full-time employees starting next year. Currently, workers have to use a personal day for their first day of sick leave if they want to be paid. The change is part of a host of new policies at the company meant to help employees, and thereby boost customer satisfaction. The new policies are expected to cost the company more than $1 billion this year. The company also recently eliminated health insurance benefits for 30,000 part-time workers.
