Buyers of a business generally expect sellers to be responsible for certain liabilities relating to when the seller owned its business—a concept mergers and acquisitions professionals refer to as indemnification. Indemnification is one of the most heavily negotiated, and potentially most significant, provisions of a purchase agreement, and understanding the terminology common to such agreements is essential when negotiating a deal. Pledge to Get Talent Back to Work

ASA is an inaugural signatory of the “Getting Talent Back to Work” pledge—part of an effort led by the Society for Human Resource Management to help provide employment opportunities to qualified people with criminal backgrounds. The pledge follows congressional passage of bipartisan criminal justice reform, the “First Step Act,” in December 2018.
