Indemnification is one of the most heavily negotiated, and potentially most significant, provisions of a purchase agreement, and understanding the terminology common to such agreements is essential when negotiating a deal. ASA will again this year support Red Nose Day, which takes place this Thursday, May 21. The association encourages members to have fun, come together, and make a difference in the lives of children in need in the U.S. and abroad.
The staff at ASA headquarters will be participating virtually, and ASA member companies are invited to join in the fun on ASA Central and social media—digital red noses can be purchased this year at rednoseday.org.
On Thursday, post your photo or video on ASA Central, Twitter, Instagram, Facebook, and LinkedIn using the #ASACares hashtag. The company with the most photos and videos, and highest number of engagements, will earn a donation to Comic Relief in its name and will be spotlighted by ASA. Be sure to use the hashtag, and tag ASA on social media, so that your posts and photos can be tallied.

In the May 18 edition of Staffing Today, ASA published an issue paper prepared by its outside counsel that provides a detailed explanation of the new Paycheck Protection Program Loan Forgiveness Application for businesses that take loans under the Paycheck Protection Program of the Coronavirus Aid, Relief, and Economic Security (CARES) Act.
The paper has been updated to include a comprehensive example, based on the application form and instructions, illustrating how the various loan forgiveness calculations are made.
