Buyers of a business generally expect sellers to be responsible for certain liabilities relating to when the seller owned its business—a concept mergers and acquisitions professionals refer to as indemnification. Indemnification is one of the most heavily negotiated, and potentially most significant, provisions of a purchase agreement, and understanding the terminology common to such agreements is essential when negotiating a deal. Adecco Maintains Positive Momentum in Q1 2014

Adecco Group reported revenues of €4.7 billion in the first quarter of 2014, up 6% in constant currency from the first quarter of 2013. Net income totaled €110 million, up 64% from €67 million in the year-ago quarter.
North American revenues totaled €874 million, up 2% in constant currency on a year-to-year basis but held back by adverse weather conditions in January and February. The company reported that North American revenues for March were up 4% in constant currency (adjusted for trading days).
General staffing revenues totaled €3.43 billion in the 2014 first quarter, up 6% in constant currency from the previous year. Professional staffing revenues totaled €1.11 billion, up 4% in constant currency.
“Europe is driving the recovery for us, but most markets are improving and North America is solid,” said Adecco Group CEO Patrick De Maeseneire.
Cross Country Healthcare Announces First-Quarter 2014 Financial Results

Cross Country Healthcare Inc. reported revenues of $118.1 million for the first quarter of 2014, up 7% from $110.3 million in the first quarter of 2013. The company reported a net loss of $782,000, compared with net income of $1.2 million in the year-ago quarter.
Nurse and allied staffing revenues totaled $80.2 million for the first quarter of 2014, up 13% from $71.1 million in the first quarter of 2013. Physician staffing revenues totaled $29.1 million, down 2% from $29.7 million on a year-to-year basis.
RCM Technologies Inc. Announces First-Quarter Results

RCM Technologies Inc. reported revenues of $48.6 million for the first quarter of 2014, up 17.8% from $41.2 million in the first quarter of 2013 and its highest quarterly revenues in five years. The company reported net income of $1.2 million in the first quarter, up 20.0% from $1.0 million a year earlier.

Jobless Claims in U.S. Dropped More Than Forecast Last Week

The number of people applying for unemployment benefits in the week ended May 3 dropped by 26,000 to 319,000, according to the U.S. Department of Labor. Fifty-two economists surveyed by Bloomberg had forecast claims of 325,000. The four-week moving average of new claims rose by 4,500 to 324,750.
