Buyers of a business generally expect sellers to be responsible for certain liabilities relating to when the seller owned its business—a concept mergers and acquisitions professionals refer to as indemnification. Indemnification is one of the most heavily negotiated, and potentially most significant, provisions of a purchase agreement, and understanding the terminology common to such agreements is essential when negotiating a deal. Covid-19 Relief Law Could Mean Higher ACA Costs for Some Staffing Agencies
The recently enacted $1.9 trillion “American Rescue Plan Act” expanded the availability of premium tax subsidies under the Affordable Care Act. ASA has published an issue paper explaining how the expansion, and other ARPA provisions, could affect penalties on staffing agencies that do not offer health plans that provide affordable “minimum value” coverage as defined in the ACA. The paper, available to ASA members, discusses the factors staffing agencies should consider in evaluating the health coverage they offer to their temporary and contract employees.

ASA Joins Global Challenge to Promote Covid-19 Vaccine Literacy
As part of its efforts to lead employer vaccine literacy in the staffing and recruiting industry, the American Staffing Association accepted the Global Covid-19 Workplace Challenge from Business Partners to CONVINCE (COVID-19 New Vaccine Information, Communication, and Engagement). The challenge was launched last month to promote Covid-19 vaccine acceptance among private sector employers and workers.
“ASA is committed to providing resources to member staffing agencies in support of Covid-19 vaccine literacy as this education is absolutely critical in getting people back to work safely and improving the economy in the U.S. and around the globe,” said Brittany Sakata, Esq., ASA associate general counsel. “ASA encourages its members to follow the association’s lead and join the Business Partners to CONVINCE Global Covid-19 Workplace Challenge to show their dedication to vaccine literacy in their own companies.”
